This Marketplace Agreement ("Agreement") is entered into by and between:
Cartup Limited (hereinafter referred to as "Cartup"), a private limited company duly incorporated under the Companies Act, 1994 of the People's Republic of Bangladesh, having its registered office at Rahman" Regnum Centre, 191/1 Bir Uttam Mir Shawkat Sarak, Dhaka 1208, Bangladesh, and operating an online marketplace through its platform at https://cartup.com/
AND
The Seller (hereinafter referred to as the "Seller"), a sole proprietorship, partnership, or company duly registered under the laws of the People" Republic of Bangladesh.
Wherever the context so requires, "Cartup" and the "Seller" shall hereinafter be referred to individually as the "Party" and collectively as the "Parties".
This document is an electronic record in accordance with the information and Communication Technology Act, 2006, along with its subsequent amendments. This Agreement is generated by a computer system and does not require any physical or digital signatures.
(A) Cartup is an organization operating its business in the e-commerce sector by establishing and managing an online marketplace platform through its web platform namely, https://cartup.com/ (“Website”) and associated Cartup Mobile Application available on iOS and Android mobile operating systems (hereinafter collectively the 'Online Platform') - a platform that enables Customers and sellers to transact online. Cartup serves as a facilitator connecting sellers with customers, by providing the sellers with the opportunity to sell their products online through the Online Platform and ensuring a seamless shopping experience to the customers;
(B) The Seller is an entity incorporated in Bangladesh operating its business and intends to avail the facilities of digital display/listing of its products, (hereinafter referred to as "Product(s) for online sale through the Online Platform. Cartup in response to the Seller's invitation agreed to provide the service of digital display/listing of the Product(s) in its Online Platform);
NOW THEREFORE, IN CONSIDERATION OF THE MUTUAL COVENANTS AND CONDITIONS SET FORTH IN THIS AGREEMENT, THE PARTIES HEREBY AGREE AS FOLLOW:
